Welcome to the TruelyNFT Platform. These Terms of Service (hereinafter referred to as the “Terms”) constitute a legally binding agreement between users and TruelyNFT, governing your access and use of the Platform. Please carefully read and understand the following before using the Platform. By accessing or using the Platform, you are deemed to have read, understood, and agreed to be bound by these Terms.
1. Scope of Application of the Terms
These Terms apply to all individual and institutional users who access, browse, or register on the TruelyNFT Platform, including but not limited to creators, collectors, and other participants. If you disagree with any of these Terms, please immediately cease using the Platform.
2. Changes and Updates to the Terms
TruelyNFT reserves the right to modify or update these Terms at any time based on operational needs or changes in laws and regulations. The updated Terms will be posted on the Platform and will take effect from the date of posting. Your continued use of the Platform after the updated Terms constitutes your acceptance of the revised Terms.
3. Eligibility
You must be at least 18 years of age or have full legal capacity to use the Platform Services. If you are using this platform on behalf of a company or organization, you must ensure that you have obtained legal authorization.
4. Legal Bindings
By using the TruelyNFT Platform, you acknowledge that these Terms are legally binding on you and agree to comply with relevant national and international laws, regulations, and regulatory requirements.

To ensure users accurately understand these Terms, the following terms are defined:
“Platform”: refers to the digital asset service platform provided by TruelyNFT, including its website, application, and related services.
“NFT”: refers to a non-fungible token generated based on blockchain technology, a unique digital certificate representing a specific digital work or right.
“User”: refers to all individuals or organizations that access or use the TruelyNFT Platform, including creators, collectors, and other participants.
“Creator”: refers to an individual or organization that publishes, mints, or uploads digital artwork or related content through the TruelyNFT Platform.
“Collector”: refers to an individual or organization that purchases, holds, or transfers NFTs through the Platform.
“Wallet”: refers to a blockchain account or application used by users to store and manage digital assets, typically provided through a third-party service.
“Smart Contract”: refers to an automated program deployed on the blockchain that enables NFT minting, trading, profit sharing, and other functions.
“Transaction”: refers to the purchase, sale, transfer, or related operations of NFTs conducted by users on the Platform.
If terms used in these Terms are not defined in this section, they shall be subject to commonly accepted industry interpretations or applicable laws.
Page 3 – Account Registration and Security
Registration Requirements
Before using the TruelyNFT service, users must complete the registration process according to the Platform’s instructions and link a valid digital wallet. In some cases, the Platform may require users to complete Identity Verification (KYC) and Anti-Money Laundering (AML) procedures.
Information Veracity
Users must provide true, accurate, and complete information during registration and ensure that it is kept up to date. The Platform is not responsible for any losses incurred by users who provide false or outdated information.
Account Security
Users are responsible for properly safeguarding their account and wallet credentials (including private keys, mnemonics, etc.). Any losses incurred due to negligence on the part of the user are the sole responsibility of the user.
Prohibited Conduct
Users may not register under the identity of another person, nor may they use the platform’s services to engage in any illegal, fraudulent, or infringing conduct.
Compliance Obligations
The platform reserves the right to suspend or terminate user accounts as necessary, in accordance with applicable laws and regulations, particularly if the user is involved in money laundering, terrorist financing, or other illegal activities.

Service Scope
TruelyNFT provides users with services including minting, buying, selling, transferring, and displaying NFTs. The platform also provides a creator profit-sharing mechanism, transaction record archiving, and authenticity verification.
Trading Rules
Users’ transactions on the platform must adhere to the principles of openness and fairness. The platform will automatically execute transactions through smart contracts, and once confirmed by the user, they are irrevocable. All transaction records will be permanently stored on the blockchain.
Service Availability
TruelyNFT will make every effort to ensure the stable operation of the platform. However, the platform will not be liable for service interruptions caused by blockchain network congestion, third-party wallet failures, or force majeure. Restrictions on Use
Users may not abuse the platform services, upload illegal, infringing, false, or misleading content, manipulate market prices, or engage in malicious speculation.
Suspension and Termination
If a user violates these Terms or relevant laws and regulations, TruelyNFT reserves the right to suspend or terminate their use rights and, if necessary, report them to relevant regulatory authorities.
Page 5 – Intellectual Property
Creator Rights
The intellectual property rights (including but not limited to copyright, trademark, and related rights) in works created or uploaded by creators through the Platform belong to the creators themselves or their legally authorized persons. The Platform does not automatically acquire ownership of the works simply by hosting or displaying them.
Authorization and Permission
By publishing a work on the Platform, creators are deemed to grant TruelyNFT permission to use the work within a reasonable scope, including necessary reproduction, dissemination, and adaptation for promotion, display, and platform operation.
User Responsibilities
When uploading, minting, or trading NFTs, users must ensure they have the legal rights and must not infringe upon the intellectual property or other legal rights of any third party. Users shall bear full responsibility for any disputes arising from any infringements by users.
Copyright Protection
The platform respects and protects the copyrights of creators. Upon receiving reasonable and valid infringement notifications, we will promptly remove, block, or delete the relevant content.
Content Removal
If a user’s NFT is found to be infringing, illegal, or in violation of regulations, TruelyNFT reserves the right to remove the relevant content without prior notice and reserves the right to pursue further legal action.
Page 6 – Transactions and Payments
Payment Methods
Users can complete transactions using cryptocurrency or other payment methods supported by the platform. Specific available payment methods are subject to platform announcements.
Transaction Fees
All transactions may incur blockchain network fees (Gas Fees), platform service fees, and other necessary fees. Users should fully understand and agree to these fees before confirming a transaction.
Profit Sharing and Royalties
Creators can set a profit sharing ratio or royalty mechanism when minting NFTs. The system automatically distributes the proceeds to the creator’s address for each secondary market resale.
Irreversibility
Once a blockchain transaction is confirmed, it is irreversible. Users should exercise caution before confirming. Losses resulting from operational errors are the sole responsibility of the user.
Refund Policy
No refunds are offered for all transactions unless the transaction is unsuccessful due to platform reasons. Users bear all risks associated with their purchases.
Page 7 – Compliance and Prohibited Conduct
Compliance with Laws
Users using TruelyNFT services must comply with applicable national and regional laws and regulations and must not use the platform for illegal purposes. Prohibited Activities
Users are prohibited from engaging in the following activities through the Platform:
Uploading or trading illegal, false, or fraudulent content;
Using the Platform for money laundering, terrorist financing, or sanctions evasion;
Manipulating trading prices or engaging in malicious speculation;
Propagating viruses, Trojans, or other harmful programs;
Unauthorized access to Platform systems or data.
Violation Actions
If a user violates the above provisions, TruelyNFT reserves the right to take action, including but not limited to warnings, account suspension, service termination, and referral to regulatory authorities.
Compliance Responsibilities
Users are responsible for ensuring that their trading practices comply with regulatory requirements in their jurisdictions of residence and relevant jurisdictions. Any liability arising from user non-compliance is the sole responsibility of the user.

Data Collection
To provide services, the Platform may collect necessary user information, including registration information, transaction records, and usage logs. In cases involving sensitive information, this information will only be processed with the user’s consent.
Data Use
Collected information will be used solely for platform operations, user authentication, security audits, and compliance requirements. TruelyNFT will not sell or illegally share personal data with third parties without the user’s consent. Blockchain Publicity
User transaction records on the Platform will be irrevocably stored on the blockchain network and can be accessed by anyone using a blockchain explorer. Users should be aware of and accept this transparency.
Privacy Protection
The Platform will implement reasonable security measures to protect user data from loss, misuse, and unauthorized access. However, due to the public nature of the blockchain, the Platform cannot guarantee complete confidentiality of all information.
User Rights
Users have the right to access, correct, or delete their personal information stored on the Platform (excluding immutable data on the blockchain). To exercise these rights, they can submit a request through official channels.

Market Risk
NFTs are highly volatile digital assets, and their value may fluctuate significantly with market conditions. Users should fully understand and bear the risks of trading, and the Platform is not responsible for any value fluctuations.
Service Interruptions
TruelyNFT assumes no responsibility for interruptions or losses caused by force majeure, blockchain network congestion, third-party service failures, or other reasons not attributable to the Platform.
No Guarantees
The Platform does not provide any guarantees regarding investment returns, future value, or market demand for NFTs. All user transactions are voluntary. Limitation of Liability
To the maximum extent permitted by applicable law, TruelyNFT assumes no liability for any direct or indirect losses arising from the use of the Platform. This limitation does not apply even if the Platform has been advised of potential risks.
Third-Party Liability
If a user suffers losses due to the use of a third-party wallet, payment tool, or other external service, the relevant liability shall be borne by the third party, and TruelyNFT shall not have any warranty obligations.
Page 10 – Governing Law, Dispute Resolution, and Termination
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, U.S.A., without regard to conflict of law principles.
Dispute Resolution
Any dispute arising from these Terms or the use of the Platform Services shall first be resolved through friendly negotiation between the parties. If negotiations fail, the dispute shall be submitted to an arbitration institution in New York, New York, in accordance with the then-current arbitration rules. The arbitration decision shall be final and binding on both parties.
Termination of Terms
Users may cease using the Platform Services at any time. If a user violates these Terms or applicable laws, TruelyNFT reserves the right to immediately terminate the service and ban the account. Termination of Terms shall not affect transactions or liabilities that have occurred prior to such termination. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
